These Terms of Service ("Terms") govern your use of VendorHub ("Service", "App", "we", "our", "us"), a Shopify application operated by Torpedo Solutions, based in Israel.
By installing, accessing, or using VendorHub, you ("Merchant", "you", "your") agree to these Terms. If you do not agree, you may not use the Service.
Description of Service
VendorHub provides tools for vendor and supplier management within Shopify stores, including:
- Vendor order management
- Automated vendor notifications
- Vendor response tracking
- Order fulfillment automation
- Vendor dashboards and reporting
- Product import and monitoring tools
The Service may evolve over time and may include new, modified, or experimental features.
Acceptable Use
You agree not to use the Service:
- In violation of any applicable law or regulation
- To transmit spam, malicious code, or harmful content
- To interfere with or disrupt the integrity or performance of the Service
- To access data or accounts without authorization
- To misuse Shopify APIs or violate Shopify policies
- To engage in fraudulent, abusive, or deceptive activities
We reserve the right to suspend or terminate access to the Service for violations of this section.
Fees & Refunds
Certain features of the Service may require payment.
- Unless otherwise required by applicable law, all payments and subscription fees are non-refundable.
- We reserve the right to modify pricing at any time upon reasonable notice.
Third-Party Services
The Service relies on third-party platforms and providers, including but not limited to:
- Shopify and Shopify APIs
- Hosting providers
- Database providers
- Email delivery services
- WhatsApp Business API (if enabled)
We are not responsible for the availability, functionality, or reliability of third-party services.
Your use of third-party services is subject to their respective terms and policies.
Data & Privacy
Your use of the Service is also governed by our Privacy Policy.
- We implement reasonable security measures to protect merchant data, but no method of electronic storage or transmission is completely secure.
- You are responsible for maintaining the confidentiality of your account credentials.
- Merchant data is retained only while the App is installed, unless otherwise required by law.
Automated Actions
VendorHub may perform automated actions and workflows, including but not limited to vendor notifications, order updates, synchronization processes, inventory-related actions, and fulfillment-related operations.
You acknowledge and agree that:
- Automated workflows may contain bugs, delays, inaccuracies, synchronization issues, or unintended results
- VendorHub does not guarantee the accuracy, timing, delivery, or successful execution of any automated action
- You are solely responsible for reviewing, monitoring, and verifying all actions performed by the Service
- You remain fully responsible for all orders, inventory, communications, customer interactions, and fulfillment decisions associated with your Shopify store
- We are not responsible for losses arising from:
- incorrect or delayed notifications
- synchronization mismatches
- failed or duplicate fulfillment actions
- vendor communication failures
- inventory discrepancies
- third-party API failures
- merchant reliance on automated workflows
The Service is intended to assist operational workflows, not replace merchant oversight or business judgment.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Availability
- Accuracy
- Reliability
- Security
We do not guarantee that:
- The Service will be uninterrupted or error-free
- Bugs or defects will be corrected
- The Service will meet your expectations or business requirements
You use the Service entirely at your own risk.
Limitation of Liability
To the maximum extent permitted by applicable law:
- VendorHub and Torpedo Solutions shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, customers, business opportunities, data, goodwill, reputation, or anticipated savings.
- We are not responsible for damages, losses, or disruptions arising from:
- data loss or corruption
- synchronization failures
- delayed or failed notifications
- incorrect automated actions
- API outages or Shopify platform issues
- vendor communication failures
- third-party service interruptions
- cybersecurity incidents beyond our reasonable control
- merchant operational decisions made in reliance on the Service
VendorHub depends on third-party platforms and infrastructure providers, including Shopify APIs, hosting providers, database systems, and communication providers. We are not responsible for failures, outages, delays, or inaccuracies caused by such third parties.
Our total cumulative liability arising out of or relating to the Service shall not exceed the total amount paid by you to VendorHub during the three (3) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless VendorHub, Torpedo Solutions, and their affiliates, operators, employees, contractors, and service providers from and against any claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable attorneysβ fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law, regulation, or third-party rights
- Your products, vendors, customers, or business operations
- Your use of automated workflows or fulfillment-related features
- Disputes between you and any vendor, supplier, customer, or third party
- Data, content, or information processed through your Shopify store
- Your failure to properly review or supervise automated actions generated by the Service
This obligation survives termination of your use of the Service.
Merchant Responsibility
You are solely responsible for:
- Reviewing all orders, fulfillment actions, notifications, and vendor communications
- Maintaining accurate inventory, pricing, and product information
- Monitoring your Shopify store operations
- Maintaining backups and operational safeguards appropriate for your business
- Complying with applicable laws, platform policies, and customer obligations
Use of the Service does not transfer operational responsibility for your business to VendorHub.
Force Majeure
We shall not be liable for delays, interruptions, or failures caused by events beyond our reasonable control, including:
- Internet outages
- Cyberattacks
- Shopify outages
- Infrastructure failures
- Natural disasters
- Government actions
- War or civil unrest
No Professional or Business Advice
VendorHub provides software tools and operational automation functionality only.
The Service does not provide legal, financial, accounting, tax, compliance, inventory, logistics, or business advice.
Any information, recommendations, analytics, notifications, or automated actions provided through the Service are for informational and operational purposes only. You are solely responsible for evaluating and verifying all business decisions and operational outcomes.
Beta / Experimental Features
VendorHub is an evolving software platform.
Certain features may be experimental, modified, discontinued, unavailable, or released in beta form at any time without notice.
Beta or experimental features may contain bugs, errors, performance issues, or incomplete functionality and are provided without warranties of any kind.
You use such features at your own discretion and risk.
Termination
You may stop using the Service and uninstall the App at any time.
We may suspend or terminate access to the Service if:
- You violate these Terms
- Your use creates security, legal, or operational risks
- Required by Shopify policies or applicable law
Upon termination:
- Your right to use the Service immediately ceases
- Certain provisions of these Terms shall survive termination, including liability limitations and indemnification obligations
International Users
If you are located in the European Economic Area (EEA), United Kingdom, or other jurisdictions with applicable privacy laws, you may have additional rights regarding your personal data under applicable law.
We will make reasonable efforts to comply with applicable privacy regulations where required.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Israel.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
Changes to Terms
We may update these Terms from time to time.
Updated versions will be published at this URL, and continued use of the Service after updates constitutes acceptance of the revised Terms.
